Terms of Service

These Terms of Service ("Terms") govern your access to and use of the CoordN8 website and the CoordN8 early testing program (together, the "Service"), operated by CoordN8, Inc.("CoordN8", "we", "us", or "our"). By accessing the Service, signing up to test, or submitting feedback, you agree to these Terms. If you do not agree, please do not use the Service.

1. Who can participate

You must be at least 18 years old, or the age of majority where you live, to use the Service. By using it, you confirm that you meet this requirement and that any information you give us is accurate and your own.

2. The early testing program

CoordN8 is a new instrument for Ableton Live that is still in active development. Anything you receive through the program is pre-release software provided for testing and evaluation only. It may be incomplete, may contain bugs, and may change or be discontinued at any time. We do not promise that it will be reliable, error free, or suitable for any particular purpose. Do not use it for production work you cannot afford to lose, and keep your own backups of any projects you open.

3. Selection and participation

Submitting the sign up form does not guarantee a place in the program. We choose a small group of testers and may accept, decline, or end anyone's participation at our discretion. Participation is voluntary and, unless we agree otherwise in writing, unpaid.

4. Confidentiality

As a tester you may see features, designs, and information that are not public. Unless we have made something public ourselves, you agree to keep what you learn through the program confidential and not to share builds, screenshots, recordings, or details with anyone outside the program without our written permission.

5. Your feedback

We want your honest reactions, and that is the point of the program. When you give us feedback, ideas, or suggestions, you grant CoordN8, Inc.a worldwide, perpetual, irrevocable, royalty free license to use, modify, and incorporate that feedback into our products and business without any obligation or payment to you. You confirm that your feedback does not include anyone else's confidential or proprietary information.

6. Acceptable use

You agree not to misuse the Service. That includes not attempting to copy, decompile, reverse engineer, resell, or redistribute the software except where the law expressly allows it, not interfering with or disrupting the Service, and not using it to break any law or to infringe anyone's rights.

7. Intellectual property

The Service, including the software, branding, and content, is owned by CoordN8, Inc. and its licensors and is protected by intellectual property laws. These Terms do not transfer any ownership to you. We grant you a limited, non exclusive, non transferable, revocable right to use the pre-release software solely for taking part in the program.

8. Third party services

Parts of the Service rely on third parties, including our website hosting and infrastructure providers. Your use of those services is also subject to their own terms and policies, and we are not responsible for them.

9. Disclaimer of warranties

The Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non infringement. We do not warrant that the Service will be uninterrupted, secure, or free of errors or data loss.

10. Limitation of liability

To the fullest extent permitted by law, CoordN8, Inc. and its team will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, projects, profits, or goodwill, arising out of or related to your use of the Service. Some jurisdictions do not allow certain limitations, so some of these may not apply to you.

11. Termination

You may stop using the Service at any time. We may suspend or end your access to the program at any time, with or without notice. Sections that by their nature should survive termination, including confidentiality, feedback, intellectual property, disclaimers, and limitation of liability, will continue to apply.

12. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the date at the top of this page. Your continued use of the Service after a change means you accept the updated Terms.

13. Governing law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of laws rules. Any dispute will be handled in the courts located there, unless applicable law requires otherwise.
